AI for Legal Documents: Draft From Approved Sources

Draft and summarize legal documents from a controlled source set, with explicit limits and attorney review. Keep reusable instructions separate from confidential matter files.

Updated 5 min read

AI for legal documents can help prepare a first draft, summarize a source document, or compare language against an approved template. Use a controlled source set and require an attorney to verify the result before it becomes advice, a signed agreement, or a court filing.

Start with the document and the legal task, rather than asking an assistant to invent a solution from a short description. fenbs can retain reusable drafting prompts and review rules while confidential documents remain in the firm’s approved matter system.

How do you start a controlled drafting workflow?

  1. Identify the document’s purpose, jurisdiction, audience, and responsible attorney. Specify whether the assistant is summarizing, extracting, comparing, or drafting.
  2. Confirm that the tool and its settings are approved for the information involved. Review the applicable confidentiality obligations before providing matter material.
  3. Assemble the approved source set: the current template, authorized clause alternatives, verified facts, and any relevant instructions from the responsible attorney.
  4. Ask for a bounded output with source references, assumptions, missing facts, and proposed changes kept distinct. Instruct the assistant to leave gaps visible.
  5. Review against the sources, resolve legal and factual questions, and approve the final document through the firm’s normal process.

For example, an attorney might ask for a first draft of a routine engagement letter from the firm’s current template and an approved fact sheet. The assistant should not fill in an unknown governing law, infer a scope of representation, or borrow an old client’s terms to make the letter look complete.

Keep the assignment narrow enough that a reviewer can tell whether it was followed. The broader guide to using AI at work covers choosing a bounded task and defining its review.

Which materials should the assistant use?

Name a current controlling template and identify source versions. An old executed contract may contain negotiated exceptions that do not belong in the firm’s default draft. A clean-looking precedent is not necessarily an approved starting point.

Separate facts supplied by the client from facts verified elsewhere, and make uncertainty explicit. If a business address, effective date, or party name has not been confirmed, use a visible placeholder rather than a plausible guess. Tell the assistant what it may copy, what it may propose, and what it must not change.

For a summary, require a location for each important proposition, such as a section number or page. Then read that passage yourself. A source reference helps the review but does not establish that the summary preserves qualifications, exceptions, or the relationship between clauses.

What instructions make a useful drafting prompt?

A reusable instruction for an attorney-supervised draft
Task: [summarize / extract / compare / draft]
Purpose and audience: [fill in]
Jurisdiction and attorney instructions: [fill in]
Use only the approved materials supplied for this task.
Preserve defined terms and approved clauses unless asked to propose a change.
Mark missing facts as [NEEDS CONFIRMATION].
Separate source-supported statements, assumptions, and proposed revisions.
Return a review checklist and source locations.
Do not invent authorities, quotations, client facts, or approval.

Use different instructions for different jobs. An extraction task should preserve the original language and location. A plain-language summary should explain obligations without quietly replacing the operative text. A proposed revision should state the change and its intended effect, leaving legal judgment with the attorney.

Store reusable prompts without matter names, client details, or confidential examples. Record who approved the instruction and which work it covers. fenbs keeps those prompts alongside the review rules a connected assistant is asked to read at the start.

How fenbs helps

Keep the drafting method separate from the matter

Save a reviewed drafting prompt and the firm’s approved review requirements in fenbs. Give the next assistant the same starting instructions without copying a client agreement into the shared work record. People remain responsible for legal choices and sign-off.

How should an attorney review an AI-assisted document?

Compare the draft against the approved template and source facts, not just against what looks conventional. Review definitions, cross-references, parties, dates, exceptions, obligations, remedies, and signature blocks. A document can read smoothly while changing the allocation of risk.

Separate the review into identifiable checks
PassCheckExample failure
FactsVerify every supplied detail and identify unresolved gaps.A draft uses a trade name where the legal entity is required.
MeaningRead obligations, qualifications, and exceptions together.A summary omits a condition that limits termination rights.
MechanicsCheck defined terms, numbering, references, and attachments.A revised clause still points to a deleted section.
Authority and approvalVerify authorities and complete the responsible attorney’s review.A plausible quotation does not appear in the cited opinion.

The ABA’s Formal Opinion 512 (opens in a new tab) discusses competence, confidentiality, communication, supervision, and other obligations when lawyers use generative AI. It is guidance based on the Model Rules; check the rules and ethics guidance that apply in your jurisdiction.

For federal civil filings, review the applicable Federal Rules of Civil Procedure (opens in a new tab), including Rule 11’s requirements for representations to the court. Check the relevant court’s local rules and the judge’s orders too. An assistant’s assurance that it checked its own citations is not a substitute for your review.

What should remain outside the shared work record?

Keep privileged communications, confidential matter documents, personal information, and legal strategy in the systems approved for them. Removing a client’s name may leave a transaction, dispute, or individual identifiable from the remaining details. Review access and permitted use for each destination, including the AI service and any connected tool.

A useful process record can still say that the responsible attorney must approve departures from the template, source references are required, and unresolved facts must remain visible. An AI brain is helpful when it preserves those reusable working instructions without becoming a second matter file.

How to do this with fenbs

  1. Create a free account, subject to your firm’s approval for the nonconfidential process information you intend to store.
  2. Add a project for drafting procedures and save a reviewed instruction in Skills and prompts. Keep confidential examples and client documents out of it.
  3. Record attorney-approved requirements in Decisions and rules, including source checks, visible missing facts, and the required human review.
  4. Connect a supported assistant, ask it to read the project context, and use tasks to track improvements to the process. Save only nonconfidential progress and general lessons after review.

fenbs does not provide legal research, draft contracts by itself, or replace a legal document management system. It is not the right fit when the job requires storing confidential matter documents without an appropriate organizational assessment and approval. The AI by role library covers other supervised professional workflows.

Questions people ask.

Can someone without a lawyer use AI to prepare a contract?

AI can help organize questions and explain text, but it can miss legal consequences and jurisdiction-specific requirements. Get qualified legal advice when rights, obligations, or significant risk depend on the document.

Does removing names make a contract safe to upload?

Not necessarily. The remaining facts can still identify the parties or disclose confidential information. Use the firm’s approved process for assessing the tool and the material.

Can AI compare two versions of an agreement?

It can help identify differences, but verify them against the actual versions. Use a document comparison tool and attorney review to confirm the changes and understand their legal effect.

Should an AI-generated clause go into the clause library?

Only after the responsible attorney reviews and approves it for a defined purpose. Record its limits and approval so a later assistant does not treat a tentative suggestion as firm policy.
